2.2 GoFleet Driver Accounts

3. GoFleet Platform Services
3.1 Service Description
GoFleet is a technology platform connecting Passengers seeking transportation with Drivers providing transportation services. We do not provide transportation services directly; we facilitate connections between independent Drivers and Passengers.
3.2 How Rides Work
The GoFleet platform enables passengers to request rides by specifying pickup and drop-off locations; drivers to view available ride requests and bid on rides with fare offers; passengers to accept driver bids and track their ride; real-time location sharing during rides; in-app communication; and payment processing.
3.3 Fare Structure and Payment
Fares are determined through DRTS-compliant recommended fares based on distance and time; driver bidding system; passenger acceptance of offered fares; multi-stop ride pricing adjustments; and scheduled ride confirmed pricing.
3.4 Payment Methods
GoFleet accepts: Wallet (pre-loaded balance), Orange Money (mobile money), Cash (direct to driver where available), and Company Credit (for corporate clients).
3.5 Cancellation Policy
Passengers may cancel before performance begins. A fair cancellation fee may apply after driver acceptance only where the fee was disclosed before confirmation and reflects costs caused by the cancellation, such as documented driver travel or waiting time. No fee applies where GoFleet, the driver or operator is at fault, or where law requires a penalty-free cancellation or refund. Eligibility, refund methods and the limited handling fee for discretionary refunds are set out in our Refund and Cancellation Policy, which forms part of these Terms.
3.6 Service Availability
GoFleet services are currently available in Botswana, Zimbabwe, South Africa, Namibia, and Zambia. Service availability may vary by location and time. We do not guarantee uninterrupted service.
3.7 Parcel Delivery
The sender must accurately describe the parcel, declare its size and weight, provide the recipient's correct name and telephone number, package it safely, and share the delivery code only with the intended recipient. The recipient confirms handover by giving that code to the driver at the delivery location. GoFleet records booking, GPS arrival, delivery-code verification and handover time as electronic proof of delivery. A code confirms handover but does not waive a consumer's right to report loss, damage, misdelivery or poor service.
3.8 Prohibited and Restricted Parcels
Users must not send illegal drugs, firearms or ammunition, explosives, flammables, hazardous or toxic materials, stolen goods, cash or negotiable instruments, human remains, live animals, pornography, counterfeit goods, items requiring an unheld licence, or anything prohibited by law. Medicines, alcohol, tobacco, high-value items, perishables and cross-border goods may be refused or accepted only under a separately published policy and applicable permits. Drivers may inspect external packaging, refuse unsafe or misdeclared parcels and report suspected unlawful contents.
3.9 Parcel Loss, Damage and Claims
Senders must photograph and retain evidence of contents, condition and packaging before collection. Recipients should inspect the parcel before sharing the delivery code where reasonably possible. Claims must be reported promptly through support with the booking reference and evidence. Any compensation, declared-value limit or goods-in-transit insurance applying to a booking will be disclosed before confirmation; GoFleet will not describe a parcel as insured unless cover is active for that booking.
4. User Conduct and Prohibited Activities
4.1 General Conduct
All Users must treat others with respect, comply with applicable laws, not discriminate or engage in harassment, and not use the platform for illegal purposes.
4.2 Passenger Obligations
Passengers must be ready at pickup at the agreed time, provide accurate location information, not request transportation of illegal goods, not damage vehicles, not exceed passenger capacity, ensure children are properly secured, not smoke unless permitted, and pay the agreed fare plus any fees or tolls.
4.3 Driver Obligations
Drivers must maintain valid licenses, permits, and insurance; keep vehicles clean, safe, and well-maintained; follow traffic laws; provide service without discrimination; not exceed vehicle capacity; not transport illegal goods; not operate under the influence; not use the platform with unsafe vehicles; not engage in unauthorized street hailing using GoFleet leads; and not share passenger personal information.
4.4 Prohibited Activities
Users must not use the platform for commercial purposes without authorization; attempt to bypass platform fees by arranging rides outside the app; create multiple accounts or fake profiles; manipulate ratings; use bots or automated means; reverse engineer applications; upload malicious software; impersonate others; or share account credentials.
5. Ratings and Reviews
Passengers and Drivers can rate each other after completed rides. Ratings should be honest and based on actual experience. Users should not manipulate ratings or solicit favorable reviews. We reserve the right to remove violating reviews. Low ratings may result in account review or suspension.
6. Safety and Emergency Features
GoFleet includes an SOS feature for alerting emergency contacts and sharing location during rides. Misuse of the SOS feature may result in account suspension. We encourage users to verify vehicle and driver details before entering, share trip details with trusted contacts, and report safety concerns immediately.
7. Payments, Fees, and Remittances
7.1 Platform Fees
Drivers pay a commission fee on each completed ride. Commission percentage is set by OMRI and displayed to drivers. Commission is automatically deducted from driver earnings. We reserve the right to adjust commission rates with notice.
7.2 Driver Earnings and Remittances
Earnings are tracked in real-time. Remittances can be requested through the app with processing times varying by method. Minimum remittance amounts may apply. Drivers are responsible for their own tax obligations.
7.3 Refunds
Duplicate or incorrect charges, failed or unavailable services, driver/operator cancellations, deficient services and refunds required by law are processed without a handling fee. A discretionary customer-requested refund may carry a handling fee of up to 5% of the approved refund amount, capped at P50 and never exceeding GoFleet's actual unrecoverable processing and reasonable administrative cost. The fee does not apply where GoFleet, a driver, operator or payment system is at fault. Full eligibility, exclusions, processing times and refund methods are stated in the Refund and Cancellation Policy.
7.4 Cash Ride Settlement
For cash rides, drivers must collect the full fare amount, remit the platform commission according to schedule, complete end-of-day reconciliation where required, and understand that outstanding commissions may result in account restrictions.
8. Loyalty and Referral Programs
GoFleet offers loyalty and referral programs. Points have no cash value and cannot be transferred. Points may expire after account inactivity. We reserve the right to modify or terminate programs with notice. Fraudulent point accumulation may result in account termination. Referral rewards are credited after referred users complete qualifying rides.
9. Intellectual Property
OMRI Investments and GoFleet names, logos, and trademarks are our exclusive property. You may not use our branding without written permission. The software, code, and design of our applications are protected by copyright. User content submitted to the platform may be used to provide services. Feedback you provide may be used to improve services without compensation.
10. Disclaimers and Limitations of Liability
10.1 Platform Role
GoFleet is a technology platform connecting independent drivers with passengers. We are not a transportation company, employer of drivers, or agent for either party.
10.2 Service Disclaimers
Our Services are provided "as is". We do not guarantee uninterrupted, timely, secure, or error-free service; endorse or guarantee driver conduct; guarantee GPS accuracy; or accept responsibility for losses due to system downtime.
10.3 Liability Limitations
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages. Our total liability is limited to the amount paid for the specific service giving rise to the claim, or BWP 1,000 (whichever is greater). Nothing in these Terms excludes, limits or waives a right or remedy that cannot lawfully be excluded under the Botswana Consumer Protection Act or other applicable law, including responsibility that the law imposes for loss or damage to goods.
10.4 Indemnification
You agree to indemnify and hold harmless OMRI Investments from claims arising from your use of Services, violation of these Terms, violation of third-party rights, or your conduct as a passenger or driver.
11. Termination and Account Suspension
11.1 Termination by User
You may delete your account through app settings. Account deletion removes your profile from active status, retains ride history as required by law, forfeits unused loyalty points, and cancels pending scheduled rides.
11.2 Termination by OMRI
We may suspend or terminate your account for violating Terms or applicable laws, engaging in fraudulent behavior, maintaining consistently low ratings, failing to provide required documentation, owing outstanding fees, or receiving serious safety complaints.
11.3 Effect of Termination
Upon termination, your right to use Services immediately ceases, pending rides are cancelled, unpaid balances become immediately due, and eligible purchased wallet balances may be refunded according to our Refund and Cancellation Policy.
12. Dispute Resolution
We encourage informal resolution first. If formal resolution is needed, disputes shall be resolved through binding arbitration in Gaborone, Botswana in English under Botswana Arbitration Association rules. Either party may bring individual claims in small claims court. To the extent permitted by law, you agree proceedings will be conducted only on an individual basis, not as class actions. These Terms are governed by the laws of the Republic of Botswana.
13. Modifications to Terms
We may modify these Terms. Material changes will be notified via email, in-app notice, or website posting. Changes become effective 30 days after notification. Continued use constitutes acceptance. If you do not agree to changes, you must stop using the Services.
14. ICT Services and SaaS Terms
For ICT services, specific service agreements define scope, payment terms, and intellectual property. For GoFleet SaaS licensing to Taxi Companies, separate licensing agreements define user limits, features, data ownership, and support terms.
15. General Provisions
These Terms constitute the entire agreement between you and OMRI Investments. If any provision is unenforceable, the remaining provisions continue. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent. We are not liable for failures caused by circumstances beyond our control (force majeure).
